Membership Terms of Service

Greater Haitian American Chamber of Commerce (GHACC)

The following Membership Terms of Service (“Terms”) govern participation in the Greater Haitian American Chamber of Commerce (“GHACC,” “the Chamber,” “we,” “our,” or “us”). By applying for membership, paying dues, or otherwise engaging with the Chamber, you (“Member,” “you,” or “your”) agree to comply with these Terms, the GHACC Bylaws, and the Standard Operating Procedures (“SOPs”).

1. Purpose of Membership

GHACC exists to promote, support, and advocate for Haitian-American businesses and professionals through networking, education, economic development, and community engagement. Membership provides access to programs, events, and initiatives designed to advance these objectives.

2. Eligibility & Application Process

  • Application Submission: All prospective members must submit a completed membership application to the GHACC Membership Committee.
  • Committee Review: The Membership Committee will review and evaluate applications for completeness, alignment with GHACC’s mission, and compliance with the Bylaws.
  • Board Approval: The Committee will submit recommendations to the GHACC Board of Directors, which has final authority to approve, deny, or defer applications.
  • Non-Discrimination: GHACC does not discriminate on the basis of race, ethnicity, gender, religion, disability, or political affiliation.

3. Membership Categories

a. Voting Members

  • Eligible to participate in discussions and transact business of GHACC.
  • Hold the right to vote at general membership meetings.
  • May hold elected or appointed positions on the Board of Directors or as Officers (as outlined in Articles V and VII of the GHACC Bylaws and SOPs).
  • Must pay annual dues, as determined by the Board of Directors.

b. Non-Voting Members

  • Receive access to GHACC programs and services.
  • Do not have voting rights or eligibility for elected/appointed board positions.
  • Must pay annual dues, unless otherwise specified.

c. Honorary Members

  • Conferred by the Board of Directors based on merit or by virtue of community position.
  • Enjoy membership privileges but do not have voting rights.
  • Are not subject to annual dues.

4. Rights, Duties, and Privileges of Membership

  • Rights: Members may participate in Chamber discussions, programs, and events, subject to category-specific rights outlined above.
  • Duties: Members are expected to uphold the mission, values, and reputation of GHACC; comply with these Terms, the Bylaws, and SOPs; and promptly pay annual dues (when applicable).
  • Privileges: Members receive access to Chamber communications, networking opportunities, and member-only benefits, including programs, discounts, and potential leadership opportunities.

5. Membership Dues & Fees

  • Annual Dues: Membership dues are determined annually by the Board of Directors and communicated prior to renewal.
  • Payment: Dues are payable upon acceptance of membership and annually thereafter.
  • Non-Payment: Failure to pay dues within the designated timeframe may result in suspension or termination of membership.
  • Refunds: Membership dues and fees are non-refundable.

6. Code of Conduct

Members are expected to:

  • Conduct themselves with integrity, professionalism, and respect.
  • Refrain from any conduct that is unlawful, discriminatory, or damaging to GHACC’s reputation.
  • Support GHACC programs and initiatives in good faith.

GHACC and its Board of Directors reserves the right to suspend or revoke membership privileges for violations of this Code of Conduct, subject to Board approval.

7. Governance & Amendments

  • GHACC is governed by its Bylaws and Standard Operating Procedures, which work in tandem with these Terms.
  • The Board of Directors reserves the right to amend these Terms at any time. Updated Terms will be published on the GHACC website, with notice provided to members.

8. Limitation of Liability

Membership in GHACC does not create any fiduciary duty by GHACC to its members beyond those outlined in applicable laws, the Bylaws, and these Terms. GHACC shall not be liable for indirect, incidental, or consequential damages arising from participation in Chamber programs, services, or events.

9. Termination of Membership

  • Membership may be terminated for non-payment of dues, violation of these Terms, or conduct deemed contrary to GHACC’s mission.
  • Members may voluntarily resign by providing written notice to GHACC.
  • Termination or resignation does not entitle a member to any refund of dues or fees paid.

10. Governing Law

These Terms shall be governed by and construed under the laws of the State of Florida, without regard to conflict-of-law principles.

Acknowledgment

By submitting a membership application, paying dues, usage of this website, or otherwise participating as a member of GHACC, you acknowledge that you have read, understood, and agreed to abide by these Terms of Service, the GHACC Bylaws, and the Standard Operating Procedures.
